The Publisher agrees to provide the Advertiser with the services outlined in the selected package. The scope, duration, and specific details of the services are as follows:
12-Month Signature Service
For a period of 12 months, the Publisher will provide the following services:
Drive Growth and Profit by Consistently Engaging Your Ideal Customers
The Advertiser will receive quarterly consultations focused on optimizing their distribution strategy across the Meta platform. The scope of the strategy will be equal to the Advertiser’s monthly membership rate to support this campaign (e.g., a $1,500/mo. plan would allocate approximately 600K impressions at a $2.50 CPM, with a total monthly spend of $3,000).
The Publisher will implement a Meta distribution strategy designed to deliver a consistent campaign promoting the Advertiser’s products and services to their ideal customers through advertisements and advertorials as creative production.
Approximately 80% of the ad spend will be allocated toward growth and value, utilizing ads and advertorials to maximize reach and awareness. The remaining 20% will be dedicated to retargeting and social proof to reinforce engagement and drive conversions.
For Meta strategies that require an assigned media buyer and daily updates, such as those for e-commerce brands, Advertisers may review a ROAS service contract.
The Advertiser has full control over their Meta distribution cost and may increase or decrease the rate at their discretion.
Meta rates are determined by a dynamic algorithm that operates on an auction-based system. The cost per thousand impressions (CPM) is subject to fluctuations based on factors such as seasonality, ad placement, and audience engagement. As a result, actual CPM rates may vary throughout the campaign duration.

Gain Recognition as a Leading Voice in the Industry
The publisher will consider the brand's reputation, consistent customer reviews with an average above 4.5, product quality, customer satisfaction, and overall brand integrity when nominating for the Excellence in Product or Service Award.
Excellence Award: The Publisher may design and implement a tailored SMS campaign through the nomination for the Excellence Award to drive votes and endorsements for the Advertiser.
Engagement Campaign: A compelling landing page will be crafted for cold audiences, complete with an interactive voting card designed for in-person engagements
Recognition
Press Release: A press release announcing award recognition may be crafted to spotlight the winners and distributed through the publisher's wire service.

Introduce Your Brand to The Gilded Palm
Introduction Article: The Publisher will craft an article introducing the Brand, publish it on The Gilded Palm's editorial page, and distribute it via social media. [Directory]
By Invitation Only: We offer a complimentary introduction article to a select number of qualifying brands. Please note, this service contract includes only the introduction article, with no additional services or deliverables.
Other Products & Services
Any additional services outside the scope of this package may be provided upon mutual agreement and documented in a supplemental Creative Content Agreement.
Advertiser Obligations
The Advertiser agrees to provide the necessary business and creative content, including, but not limited to, logos, images, and a database of contacts who have opted in to receive marketing services, in accordance with the Publisher's advertising guidelines. The Publisher reserves the right to reject any materials deemed inappropriate.
The Advertiser is also responsible for responding to interview questions in a timely manner to ensure the advertorial content is published within the agreed-upon timeline.
The Advertiser shall not provide false or misleading information and agrees that any claims made in the content will comply with applicable laws and regulations. Pricing and service terms are considered confidential and shall not be disclosed by the Advertiser to any third party, except as required by law.
Billing & Payment
The Advertiser agrees to make twelve (12) equal monthly payments, invoiced each month for the duration of the Agreement.
The first month’s payment shall be made upfront, and all subsequent payments will be automatically charged on the same date each month, commencing from the date of the proposal acceptance.
All payments shall be made in U.S. currency. Payments not received within ten (10) days of the due date will be considered overdue and may incur a late fee of 5% of the outstanding balance.
If applicable, advertisers will be re-billed for SMS and email data usage, and a one-time $30 A2P registration fee with the FCC will apply. These charges will be invoiced separately and calculated based on actual usage and the associated costs incurred for message delivery. SMS data will be billed at a standard rate of $0.008 per segment, and email data will be billed at a standard rate of $0.0007 per email.

Meta ad spend strategy uses an average $2.50 CPM for projection and budgeting purposes. However, Meta's auction-based algorithm dynamically determines rates, and the actual cost per thousand impressions (CPM) can fluctuate. Factors such as seasonality, placement, and audience engagement influence these variations, resulting in potential shifts throughout the campaign.
Liability, Indemnification & Termination
The Publisher shall not be liable for any indirect, incidental, or consequential damages arising from the services provided under this Agreement.
The Publisher makes no warranties regarding the effectiveness of the services in generating increased sales, business activity, profits, or any other measurable improvement.
The Advertiser agrees to indemnify, defend, and hold harmless the Publisher from any and all claims arising from the Advertiser’s content, including but not limited to intellectual property infringement, false advertising, or violations of applicable laws and regulations. The advertiser confirms that all contacts included in the SMS or email campaign have opted in to receive communications.
The Publisher reserves the right to terminate this Agreement immediately in the event of any material breach by the Advertiser, including but not limited to submission of unlawful or non-compliant content.
The Publisher is not responsible for any disruptions in email or SMS message deliverability caused by changes in filters or content policies from external vendors. However, the Publisher is committed to addressing and resolving such issues promptly to maintain service quality.
The Publisher’s role in establishing a strong email and SMS sending reputation by initially targeting highly engaged recipients over a 2-6 week warm-up period. To optimize deliverability from the start, the Publisher will set a sending limit at the beginning, gradually increasing volume based on engagement metrics. This phased approach will build trust with email and SMS providers, while the Publisher continues to uphold best practices beyond this phase to maintain strong deliverability.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Florida. This Agreement represents the entire understanding between the parties and supersedes all prior views.
Neither party shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, war, or legal restrictions.

This designated representative will serve as the a contact person throughout the duration of the campaign. All communications regarding the campaign, including but not limited to updates, revisions, and approvals, will be directed through this individual. It is the responsibility of the representative to relay all relevant information to their team and respond promptly to any inquiries.
Satisfaction Guarantee
The Advertiser may terminate this Agreement after six (6) months of service if they are not satisfied with the results. If the Advertiser chooses to discontinue service, they may do so for any reason and will not be obligated to fulfill the remaining term of the contract. Any outstanding fees for services rendered up to the termination date shall remain due.
